1. Agreement and General Terms of Service and Use

1.1 These Terms of Service constitute the agreement between LegalDictionary.net (“Website,” or “Site”) and you as a “User” who accesses, subscribes to access or otherwise establishes a connection the Website.

1.2 By accessing and using the Website User agrees to abide by all of the provisions of this Terms of Service agreement (“TOS,” or “the Agreement”). User is solely responsible for their use of the Website, and these rights are not assignable. User is responsible for the acts of other persons accessing the Website using user’s login ID and password.

1.3 LegalDictionary.net reserves the right to change, limit, or discontinue any feature, content, or aspect of the Site. In addition, LegalDictionary.net reserves the right to modify or change any or all of the provisions of this TOS agreement without prior notice to users, said change to the TOS shall be posted on the Website. Use of the Website after notice of changes to the TOS signifies User’s acceptance of the changes and agreement to abide by the new TOS.

1.4 LegalDictionary.net Any user who does not agree to the provisions of the TOS, or is not satisfied in any way with the Site, may discontinue use of the Site as their sole and entire remedy.

2. Information Provided by the Site and User Activities

2.1 All information, content, material, reference data, features, and tools (“Content”) on the Website are to be used solely for lawful, non-commercial purposes. Content found on the Website is for informational purposes only, and should not be construed as a substitute for consulting with, or obtaining the advice of an attorney or other legal professional.

2.2 User may not download, copy, store, transmit, publish, sell, transfer, sub-license, or otherwise use LegalDictionary.net, or any portion thereof, in any form or by any means, except (i) as expressly permitted by this Agreement, (ii) with LegalDictionary.net’s written permission, or (iii) if not expressly prohibited by this Agreement, as allowed under the fair use provision of the Copyright Act (17 U.S.C.A. §107).

2.3 User may not revise, alter, or modify information or services provided through LegalDictionary.net in any way. User may not decompile, disassemble, reverse engineer, or otherwise attempt to discern the source code or architecture of the components of LegalDictionary.net, or any information about users or usage. User may not use any spider, robot, or other automatic device or manual process to access, monitor, or copy LegalDictionary.net without LegalDictionary.net’s prior written permission.

2.4 No User shall disseminate any material of any type that is defamatory, libelous, obscene, pornographic, abusive, or other in violation of any law, or which infringes on the rights of any other person or entity. No User shall use the Site in any manner for advertising, nor for the solicitation of funds, goods, or services.

2.5 User agrees that any comments, postings, or other information made available by them to the Site is their original work, and that they have all rights to make said information available. User is liable for any damages which may result from making such information available through the Site.

2.6 By making such information as listed in 2.3 above available to or through the Site, User grants to LegalDictionary.net a global, royalty-free, and irrevocable non-exclusive right and license to use said information, as well as to modify, reproduce, adapt, publish, said information.

Additionally, User grants to the Site permission to sub-license such information, in whole or in part, and to incorporate it into other works of any nature or form. By making such information as listed in 2.3 above, User also grants to other users of the Site the right and license to access, view, store, or reproduce said information for that user’s personal use.

2.7 LegalDictionary.net does not, and has no obligation to, review every item, post, or other material contributed to the Site by users. LegalDictionary.net is not responsible for any user-provided content, information, or material, but reserves the right to remove, delete, edit, or move said information or material, at its own discretion. LegalDictionary.net reserves the right to, at any time and without notice, provide any information or material necessary to satisfy any governmental or law enforcement request.

2.8 User understands that LegalDictionary.net’s performance under these terms and conditions of use are subject to interruption and delay due to causes beyond its reasonable control, such as acts of God, acts of any government, war or other hostility, civil disorder, the elements, fire, explosion, power failure, equipment failure, industrial or labor dispute, inability to obtain necessary supplies and the like.

2.9 LegalDictionary.net reserves the right to collect, use, and share demographic data about any and all users of the Site in a format that does not identify any individual.

3. Rights Regarding Site Content

3.1 All information and content provided by LegalDictionary.net on the Website is protected by relevant copyright, trademark, and other intellectual property laws and proprietary rights, and is owned, controlled, or licensed by LegalDictionary.net. Any and all trademarks appearing on the Website are the sole property of LegalDictionary.net or their respective owners, and may not be used without their express written consent.

3.2 Information and content on the Website shall not be modified, transmitted, published, or sold, or in any manner exploited. User may download information and content found on the Site for personal use only, making no other use of the information without the express written consent of the Site and/or copyright owner.

3.3 User shall not change or alter any downloaded content, and shall not remove or change any proprietary rights notices from any content legally downloaded from the Site. User acquires no rights of ownership to downloaded information or content.

4. Limitation of Liability and Disclaimer of Warranties

4.1 User expressly agrees that any use of the Website is at their sole risk. Neither LegalDictionary.net, nor its employees, agents, affiliates, third party content providers, or licensors warrant that the Site will remain error free or uninterrupted, nor do they make any warranty as to the accuracy or completeness of the results obtained from use of the Site.

4.2 User understands that, to the extent permitted by applicable law, the Website and all information, content, material, and postings are provided on an “as is” basis, without warranties of any kind, either express or implied, including, but not limited to, warranties of title or non-infringement, or implied warranties of merchantability or fitness for any specific purpose.

4.3 Under no circumstances, including but not limited to, negligence, will LegalDictionary.net, or any of its parents, employees, agents, affiliates, subsidiaries, third party content providers, or licensors, and their respective officers, directors, employees, and agents, be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of, or the inability to use, any content, material, information, posting, or tool on the Site, or the Website itself.

User agrees that these limitations apply regardless of whether any party liable, or allegedly liable, was advised, or knew or had reason to know, of the possibility of such damages. User explicitly acknowledges and agrees that LegalDictionary.net and its parents, employees, agents, affiliates, subsidiaries, third party content providers, or licensors, and their respective officers, directors, employees, and agents, joint and several, are NOT liable for any illegal, defamatory, or offensive conduct of any user.

5. Indemnification

5.1 User agrees to indemnify, defend, and hold harmless LegalDictionary.net and its parents, employees, agents, affiliates, subsidiaries, third party content providers, or licensors, and their respective officers, directors, employees, and agents, from and against all claims, liability, and expenses, including attorney’s fees, and legal fees and costs, arising out of User’s use of the Site, or User’s breach of any provision of the TOS agreement.

5.2 LegalDictionary.net reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by User. User shall cooperate as fully as may be reasonably required in the defense of any claim.

6. Notices

User shall contact the Website using this form. The Website shall contact User via the email address provided by User, or by posting a notice on the Website.

7. Termination

LegalDictionary.net may terminate this TOS agreement, as well as User’s use of the Website at any time, and without prior notification. LegalDictionary.net reserves the right to immediately terminate User’s use of the Website in the event of any conduct LegalDictionary.net, at its sole discretion, considers unacceptable, or in case of any breach of the TOS by User.

8. Laws Governing Performance and Disputes

This TOS agreement, the users’ performance under it, and any disputes arising under it shall be governed exclusively by the laws of the United States of America, and the state of the Website’s origin, without giving effect to their conflict of laws guidelines. User consents to the exclusive jurisdiction, forum, and venue of the courts of the state of the Website’s origin and the United States District Court for that district in any and all disputes, actions, or controversies relating to, or arising from this agreement.

9. General Terms

This TOS agreement, as well as rules posted on the Website established by LegalDictionary.net constitute the entire agreement between the parties in regards to the subject matter hereof. No waiver by either of the parties, nor any breach or default under this TOS agreement shall be deemed to be a waiver of any preceding or subsequent default or breach. This TOS agreement shall be binding upon, and inure to the benefit of, LegalDictionary.net and its trustees, successors, and assigns. LegalDictionary.net may assign this TOS agreement, or any of its rights or obligations under this agreement, without notice to User.
